Franchise Scheme

This scheme focuses on franchise-based businesses with a proven track record of success, either locally or internationally, supported through strategic equity investment.


Objective

To support the growth and expansion of franchise businesses (both domestic and international) with proven business models through structured financial assistance.


Company Criteria

  • Strong growth trends and high market potential;
  • Registered with the Registrar of Franchises (ROF) and the Malaysian Franchise Association (MFA) as:
    • Franchisor;
    • Master Franchisee;
    • Franchisee of a Foreign Franchisor.
  • Minimum of two (2) consecutive years of Profit After Tax (PAT), with the most recent PAT at least RM500,000;
  • Minimum shareholders’ funds of RM1 million.

Investment Structure

Investment Methods Investment Size Investment Tenure
Subscription of Ordinary Shares and/or Redeemable Convertible Preference Shares (RCPS) Maximum of RM5 million Up to 5 years
Ordinary Shares: Up to 49% equity interest in the target company
Expected Returns: Minimum of 8% per annum via Put or Call Option
RCPS: Fixed dividend rate between 6% to 8% per annum (not subject to a gearing ratio cap of 2x)
